ARTICLE 1: PURPOSE AND IDENTIFICATION OF THE SELLER

These general terms and conditions of sale (hereinafter "the GTCS") govern all sales concluded through the website www.daothe.com (hereinafter "the Site").

Daothé is a French tea house that creates and sells origin teas, mainly from Yunnan.

ARTICLE 2: SCOPE OF APPLICATION

These GTCS apply to any order placed on the Site, whether the buyer is a consumer within the meaning of the introductory article of the French Consumer Code or a professional. They prevail over any other document originating from the buyer.

The provisions specific to consumers (right of withdrawal, legal guarantee of conformity with presumption that the defect predates delivery) do not apply to professional buyers. Professionals wishing to establish an ongoing commercial relationship are invited to contact Daothé directly at contact@daothe.com.

Any order implies full and unreserved acceptance of these GTCS in the version in force on the day of the order.

ARTICLE 3: PRODUCTS

The products offered for sale are described on each product page of the Site with the greatest possible accuracy. The photographs illustrating the products have no contractual value. In the event of an obvious discrepancy between the product's characteristics and its representation, Daothé cannot be held liable.

Daothé reserves the right to modify the composition of its product range at any time.

ARTICLE 4: PRICES

Prices are stated in euros, all taxes included (VAT at the rate in force on the day of the order). They do not include delivery charges, which are indicated to the customer before the final validation of the order.

Prices may be changed at any time. Products are invoiced at the price in force at the time the order is validated.

Any order delivered outside mainland France may be subject to customs duties, local taxes or import charges, which remain the responsibility of the buyer. Daothé is not able to know the amount of these charges in advance and cannot be held liable for them.

ARTICLE 5: ORDERS

5.1 Ordering procedure

To place an order, the customer selects the desired products, chooses the packaging and quantity, then adds them to the basket. The customer may at any time view and modify the contents of the basket before proceeding to payment.

At the time of validation, the customer enters their delivery details and chooses their delivery and payment method. A summary of the order is presented before final confirmation, stating the details of the products, the total price all taxes included and the delivery charges.

Validation of the order with an obligation to pay constitutes the conclusion of the sales contract.

5.2 Order confirmation

A confirmation email is sent to the customer after validation of the order, stating the order number, the details of the products ordered and the tracking information.

5.3 Availability

Product offers are valid while stocks last. In the event of a stock shortage after validation of the order, Daothé will inform the customer as soon as possible by email and will offer either a restocking lead time or a refund of the product concerned.

Daothé reserves the right to refuse or cancel any order that is manifestly abnormal, suspicious or placed in bad faith, as well as any order from a buyer with whom a dispute is ongoing.

ARTICLE 6: PAYMENT

Payment is made in full at the time of the order. The accepted means of payment are credit card (Visa, Mastercard) via Shopify Payments, Apple Pay and PayPal.

Credit card transactions are secured by the 3D Secure protocol. The customer's banking information is not retained by Daothé. It is processed directly by the payment providers (Stripe for Shopify Payments, PayPal for PayPal payments) via an encrypted connection (SSL/TLS protocol).

The customer warrants that they are the holder of the means of payment used and that it gives access to sufficient funds to cover the amount of the order.

ARTICLE 7: DELIVERY

7.1 Delivery methods and rates

Daothé delivers to mainland France and worldwide. Two delivery methods are offered in mainland France:

Home delivery by Colissimo (La Poste), at a rate of €4.00 for orders under €40, free from €40 of purchase.

Delivery to a pickup point by Mondial Relay, at a rate of €3.00 for orders under €40, free from €40 of purchase.

International delivery charges are calculated according to the weight and the destination zone. They are indicated to the customer before validation of the order.

7.2 Delivery times

The delivery time in mainland France is 3 to 7 working days from the order confirmation. The international delivery time is 7 to 21 working days. These times are given for information purposes only.

In accordance with article L.216-2 of the French Consumer Code, if delivery has not taken place within the agreed time or, failing that, within thirty days following the order, the consumer may terminate the contract after having formally instructed Daothé to carry out the delivery within a reasonable additional period. Daothé then refunds all sums paid within fourteen days.

7.3 Transfer of risk

The products travel at Daothé's risk. The transfer of risk to the customer takes place at the time of physical possession of the product by the customer or by the third party designated by them, in accordance with article L.216-4 of the French Consumer Code.

7.4 Receipt and complaints

The customer is invited to check the condition of the packaging and the conformity of the products upon receipt. In the event of a damaged parcel or a non-conforming product, the customer may contact Daothé by email at contact@daothe.com, attaching photographs if possible. Daothé will then offer, at the customer's choice, a re-shipment of the product or a full refund including shipping costs.

The customer is responsible for the accuracy of the delivery information provided when ordering. In the event of an address error making delivery impossible or causing the parcel to be returned, Daothé will refund the order, less the shipping costs incurred, upon receipt of the returned parcel.

ARTICLE 8: RIGHT OF WITHDRAWAL

In accordance with articles L.221-18 et seq. of the French Consumer Code, the consumer has a period of fourteen days from receipt of their order to exercise their right of withdrawal, without having to justify any reason.

To exercise this right, the customer sends a clear statement to Daothé by email at contact@daothe.com or by post to 115 chemin Haran, 64990 Urcuit, specifying their surname and first name, the order reference and the items concerned. A standard withdrawal form is made available on the Site: https://daothe.com/pages/formulaire-de-retractation.

The products must be returned in their original packaging and in perfect condition within fourteen days following notification of the withdrawal. Return costs are the responsibility of the customer.

The refund is made within fourteen days from receipt of the withdrawal request. Daothé may, however, defer this refund until receipt of the returned products or proof of shipment. The refund covers the price of the items and the initial delivery charges up to the standard delivery rate, and is made by the same means of payment as that used for the purchase.

If the returned products have depreciated as a result of handling other than that necessary to establish their nature and characteristics, the amount of the refund may be reduced accordingly.

In accordance with article L.221-28, 5° of the French Consumer Code, the right of withdrawal cannot be exercised for sealed products that have been unsealed after delivery and that cannot be returned for reasons of health protection or hygiene. As tea is a food product, any sachet or packaging opened after receipt cannot be returned.

The right of withdrawal does not apply to professional buyers.

ARTICLE 9: LEGAL GUARANTEES

9.1 Legal guarantee of conformity

In accordance with articles L.217-3 to L.217-20 of the French Consumer Code, Daothé is required to deliver goods that conform to the contract. The consumer has a period of two years from receipt of the product to act under the legal guarantee of conformity.

During this two-year period, the lack of conformity is presumed to exist at the time of delivery of the goods. The consumer is exempt from providing proof of the existence of the defect.

In the event of a lack of conformity, the consumer may choose between replacement and refund of the product, free of charge. If the consumer's choice entails a manifestly disproportionate cost compared with the other option, Daothé may proceed according to the option not chosen, except where impossible.

9.2 Guarantee against hidden defects

In accordance with articles 1641 to 1649 of the French Civil Code, Daothé is bound by the guarantee against hidden defects of the product sold that render it unfit for the use for which it is intended, or that so diminish that use that the buyer would not have acquired it, or would have given only a lower price for it, had they been aware of them.

Action resulting from hidden defects must be brought within two years from the discovery of the defect.

The buyer may choose between rescission of the sale (return of the product and refund of the price) or a reduction in the price, in accordance with article 1644 of the French Civil Code.

9.3 Implementation of the guarantees

ARTICLE 10: RETENTION OF TITLE

The products remain the property of Daothé until full payment of the price. The transfer of ownership takes place at the time of the actual collection of the full price by Daothé.

ARTICLE 11: LIABILITY

Daothé undertakes to take all necessary care in the preparation and dispatch of orders.

Daothé cannot be held liable for non-performance of the contract in the event of force majeure as defined by article 1218 of the French Civil Code, nor for inconveniences or damage related to the use of the Internet network, in particular a service interruption, an external intrusion or the presence of computer viruses.

The information appearing on the Site, in particular the indications relating to the traditional properties of teas, is provided for information purposes and in no way constitutes medical advice.

The customer is solely responsible for the choice of the products ordered and for their storage after delivery, in compliance with the conditions indicated on the packaging.

ARTICLE 12: PERSONAL DATA

The collection and processing of customers' personal data are described in the Site's privacy policy, which can be viewed at the following address: https://daothe.com/pages/politique-de-confidentialite.

ARTICLE 13: INTELLECTUAL PROPERTY

All the content of the Site — texts, photographs, illustrations, videos, logos, trademarks, domain names, layout and graphic charter — is the exclusive property of Daothé, unless otherwise stated, and is protected by French and international laws relating to intellectual property.

Any reproduction, representation, modification or exploitation of this content, in whole or in part, by any means whatsoever, is strictly prohibited without the prior written authorization of Daothé. Any unauthorized use constitutes an infringement sanctioned by articles L.335-2 et seq. of the French Intellectual Property Code.

ARTICLE 14: LINKS TO THIRD-PARTY SITES

The Site may contain links to third-party sites. Daothé exercises no control over these sites and declines all responsibility for their content, their products, their services or their data protection practices.

ARTICLE 15: COMPLAINTS AND MEDIATION

For any complaint relating to an order, the customer is invited to contact Daothé's customer service first by email at contact@daothe.com or by post to Daothé, 115 chemin Haran, 64990 Urcuit.

In accordance with articles L.611-1 et seq. of the French Consumer Code, in the event of an unsatisfactory response or no response within a reasonable time, the consumer may have free recourse to a consumer mediator. ARTICLE 16: APPLICABLE LAW AND JURISDICTION

These GTCS are drafted in French. In the event of translation, only the French version is authoritative.

These GTCS are governed by French law. In the event of a dispute, and failing amicable resolution or mediation, the French courts will have jurisdiction in accordance with the rules of common law.
